Terms of Service

1. The agreement

These Terms govern your use of AgentWay ("the Service"). By creating an account or using the Service you agree to them. If you're agreeing on behalf of a company, you confirm you have authority to bind it.

2. What we provide

AgentWay is a control plane for software agents you operate. It provides monitoring, message delivery, and operational controls for agents that connect to it.

What we do not provide: we do not host, execute, or supply your agents. We do not provide AI models. Your agents run on infrastructure you control, and we never execute your code.

We guarantee that instructions you send are durably stored, ordered per recipient, and delivered at least once to a connecting agent, and that we record what happened to them. We do not and cannot guarantee that your agent behaves correctly in response to any instruction — that depends on how you built it.

3. Your account

You're responsible for:

  • Keeping your account credentials secure.
  • Keeping your API keys secret. A key grants access to a scope; anyone holding it can register and act as agents within that scope. Revoke a key immediately if it may have been exposed.
  • All activity that occurs under your account.

You must be at least 16 years old, or the age of digital consent in your jurisdiction if higher.

4. Your agents and your code

You retain full ownership of and responsibility for your agents. In particular:

  • You are responsible for what your agents do. Including actions taken after receiving an instruction through AgentWay. We deliver messages; we do not control behaviour.
  • Pause is cooperative. Pausing an agent asks it to stop at its next checkpoint. It cannot interrupt work in progress, and it cannot stop an agent that does not check in. Do not rely on it as a safety mechanism for anything where an immediate, guaranteed stop is required.
  • Terminate does not kill your process. It stops message delivery and liveness tracking, and signals the agent to exit. Stopping the underlying process is your responsibility.

5. Acceptable use

You may not use the Service to:

  • Break any applicable law, or facilitate anyone else doing so.
  • Coordinate agents whose purpose is unauthorised access to systems, networks, or data.
  • Send unsolicited bulk messages, or operate agents built to circumvent another service's terms or rate limits.
  • Interfere with the Service — probing, load testing without consent, or attempting to access other customers' data.
  • Resell or white-label the Service without a written agreement.

We may suspend accounts that materially breach this section. Where circumstances allow, we'll contact you first.

6. Your data

You own your data. That includes your agent configuration, activity history, message contents, and audit trail.

We process it to operate the Service. Content your agents report — activity, tree entries, messages, and payloads — is stored in readable form so the Service can display it to you. We access that content only at your request, where strictly necessary to investigate a security incident or fault, or where legally required. We do not use it to train machine learning models.

You can export your data at any time. See the Privacy Policy for detail on what we collect, when we access it, and how long we keep it.

7. Availability

We aim for high availability but do not offer an uptime guarantee on free or self-serve plans. Paid enterprise agreements may include an SLA with specific commitments.

By design, an AgentWay outage should not stop your agents. Our SDK is built so that agents keep working when the Service is unreachable. We consider this a core property, not a convenience — but you should still design your agents not to depend on our availability.

8. Fees and plan limits

Pricing for paid plans is published on our pricing page. Fees are billed in advance and are non-refundable except where required by law. We will give at least 30 days' notice before any price increase takes effect for you.

Plan changes. An upgrade takes effect immediately, and the difference for the remainder of the current period is charged at that time. A downgrade takes effect at the end of the period you have already paid for; there is no refund or proration, and your current plan's limits apply until then. Cancelling works the same way: access continues to the end of the paid period, after which the account moves to the free plan's limits.

Included usage. Each plan includes an allowance of agent events per billing period, stated on the pricing page. When the allowance is exhausted, further agent writes are refused until the allowance renews at the start of the next billing period, or until you upgrade. We do not charge overage fees without your agreement.

Agents that reach the limit continue to check in and remain visible and controllable; only the writes are refused. This is a plan limit, not a suspension, and it does not affect data already stored.

Payments are processed by Stripe. We do not store your card details.

9. Intellectual property

We own the Service, including its software, design, and documentation. You own your agents and your data. Neither party gains rights in the other's intellectual property beyond the licences needed to operate.

Our client SDKs are proprietary and licensed separately. They are made available in source form for use as clients of the Service; the licence distributed with each package governs your use of it. See the SDK licence.

If you send us feedback or suggestions, we may use them without obligation to you.

10. Disclaimers

The Service is provided "as is". To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We specifically do not warrant that the Service will be uninterrupted, that message delivery will occur within any particular time, or that your agents will behave as you intend.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

Our total aggregate liability arising from these Terms is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred euros.

Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.

12. Termination

You may close your account at any time. We may terminate or suspend your access for material breach of these Terms, or with 30 days' notice for any other reason.

On termination we'll make your data available for export for 30 days, then delete it in accordance with our Privacy Policy.

13. Changes to these terms

We may update these Terms. For material changes we'll give at least 30 days' notice by email or in-product notice. Continuing to use the Service after changes take effect means you accept them.

14. General

Governing law. These Terms are governed by Belgian law, and the courts of Brussels, Belgium have exclusive jurisdiction over any dispute arising from them. Nothing here deprives you of the protection of mandatory consumer law in your country of residence.

Assignment. You may not transfer these Terms without our written consent. We may transfer them to a successor in connection with a merger, acquisition, or sale of assets.

Severability. If a provision is found unenforceable, the rest remains in force and the provision is applied to the fullest extent permitted.

No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

Entire agreement. These Terms, together with the Privacy Policy and, where executed, the Data Processing Addendum, constitute the whole agreement between us regarding the Service.
